1. TERMS AND CONDITIONS OF USE OF WEBSITE

1.1. Please read these terms and conditions carefully before accessing or using this Site and/or Services as defined here which are owned, managed and controlled by NBS HARDWARE & HOUSEWARE PTE LTD, NBS FURNITURE PTE LTD(“us”, “we or “our”). This Site and/or Services may only be used if you are 18 years and above. If you are below the age of 18, you must obtain the consent from your parent(s) or legal guardian(s), who by accepting these Terms shall agree to assume responsibility for your actions and any legal consequences in connection with the use of the Site and/or Services. If you do not have consent from your parent(s) or legal guardian(s), you must stop using/accessing the Site immediately.

1.2. Your access to Site and use of the Services are conditional on your acceptance of and compliance with these Terms and subscribing to our online prevailing philosophy, purpose, annexes and code of ethics or SOP (collectively called the “Terms”). These Terms shall apply to all visitors, Registered Account Users and others who access the Site or use the Services.

1.3. By accessing the Site or using the Services, you agree to be legally bound by these Terms. If you do not accept these Terms or any part of them, please leave the Site and discontinue the use of the Services immediately.

1.4. You acknowledge and agree that you have to register as a Member and open an account with us to access the Site and use its Services and further agree to be legally bound by the Special Terms defined at Schedule A in addition to these Terms.

1.5. We may amend or modify any of these Terms at any time and post them at this Site. Any use or continued use of the Site shall be deemed to be an acceptance of amended Terms or Special Terms by you. If you do not agree to these Terms and/or Conditions as amended or varied, you may close your Account and cease to use or access the Services.

 

2. DEFINITIONS AND ABBREVIATIONS

Services: Any one or more of the Services on or through the Site, each a Service and collectively called the Services, including the creation, provision of an online or mobile platform made publicly available for access to the collection of information, data, content created or uploaded and any software, online or mobile or electronic applications or platform, email alerts or any other features, content or applications, linking home food makers to customers for sales and marketing purposes but excluding paid listing or advertisements, and providing an option of last-mile delivery, with fulfilment provided by either independent delivery service providers.

You or User: Any person who uses the Services or accesses the Site, whether as visitor, Registered Account users or visitor or others.

We, us, our: www.nbsgroup.com.sg as owned and controlled by NBS HARDWARE & HOUSEWARE PTE LTD (UEN 200400029R) and NBS FURNITURE PTE LTD (UEN 200400028E), collectively called the NBS Group and its affiliated companies.

Parties: All the entities mentioned above in connection with each other or any one of them.

Registered Account Users: Any person or party who opens an account with us to access the Site and/or Services

Content: Information or any material or any other content uploaded or posted on the Site and other digital or social media communication platforms with Users including Google Docs and WhatsApp (non-exhaustive)

Retailer or Merchant: A third-party seller of goods or provider of services

Content: All content on this Site created, transmitted, posted or uploaded by us or User or Retailer, including User created listings and content, such as photos, videos, comments, data, text, links and/or other information, without limitation the text, graphics, photographs, software, videos and audio files and the like that appear on www.nbsgroup.com.sg.

Special Terms: Terms and Conditions peculiar and applicable to specific products in addition to the Website Terms as set out in Schedule A.

3. SPECIAL CONDITIONS, UNDERTAKINGS AND WARRANTIES APPLICABLE TO USER

3.1. Content Use

As a User, you shall not, unless with the prior consent of NBS HARDWARE & HOUSEWARE PTE LTD:-

3.1.1. reproduce, display, advertise, or otherwise provide access to the Services, Content, whether User or Third Party, on another website or server, by any technological means, now or in the future.

3.2. User as a customer

The following, which ares not exhaustive, are the representations, undertakings or warranties or acknowledgement of the User as a customer that:

3.2.1. It is the sole responsibility of the Customer to check through the product listings and make informed inquiries before ordering and acknowledges that once an order is effected the Customer assumes full responsibility for the purchase.
3.2.2. It is also the sole responsibility of the Customer to check that their goods or products commensurate with their order.
3.2.3. Customers acknowledge that prices are subject to changes at any time, at the sole discretion of the merchant or retailer.
3.2.4. Customers acknowledge that we reserve the right to charge fees, which may be subject to changes, for the provision of our Services. You will be notified of any applicable fees prior to the purchase on the checkout page on our Site.
3.3. Terms of Sale, including description of products and pricing

The following, which are not exhaustive, are the representations, undertakings or warranties or acknowledgement of the User as a customer that by placing an online order on our website:

3.3.1. You are making purchasing the products for personal consumption and not for business or commercial purpose.
3.3.2. You acknowledge that your order is a mere offer to purchase subject to our absolute right to reject, without assigning any reason.
3.3.3. Your order is only confirmed if duly accepted by us and confirmed by an email.
3.3.4. You acknowledge that even if your order is confirmed, it is subject to stock availability.
3.3.5. We reserve the right to cancel any confirmed order, whether paid or not, subject to a refund, if applicable or our offer of an alternative product.
3.3.6. You acknowledge that while we endeavor to ensure that all details, descriptions and prices which appear on the Site are accurate, errors or omissions, including but not limited to processing errors may still happen. If the error relates to price, you will be notified to either cancel the order or reconfirm your order at the right price. A mistake on our part is not to be treated as a concluded contract. If you are not contactable, the order will be deemed cancelled subject to a full refund, if payment is made.
3.3.7. You acknowledge that the Service or content may contain typographical or other errors, inaccuracies, omissions or may not be current or updated. As soon as possible, we will rectify the errors or discrepancies and update them on the Site without prior notice.
3.3.8. You acknowledge that we have the express right to cancel or reject any order based on errors, omissions or outdated information.

3.4. Payment arrangement

3.4.1. Payments will be made via any form that we deem fit, including Paynow, PayPal, Internet Banking, which will be updated from time. To time. There will be no cash on delivery.

3.4.2. We retain the right to withhold/suspend any transactions if we believe the transaction to be of fraudulent nature/illegal/criminal activities/breach of Terms.

3.4.3. Paynow will be under the name of NBS HARDWARE & HOUSEWARE PTE LTD. Paynow to UEN and input 200400029RNBS.

 

4. USE OF THE SERVICES AND RESTRICTIONS OF USE

4.1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable (with or without cause), non-transferable right and license to use the Site and Services.

4.2. You further undertake:

4.2.1. that when browsing, accessing or using the Site and/or Services, or when communicating with any other User or third party, you shall not do or attempt to do or permit any other person to do or attempt any act that interferes with, or disrupt the integrity or the performance of the Site and/or Services, including the purpose;

4.2.2. not to authorise or encourage anyone to do any of act or for any purpose that is unlawful or prohibited by these Terms or by any prevailing law or for any other purpose not reasonably intended by us.

4.2.3. not to abuse, harass, threaten, impersonate or intimidate any person;

4.2.4. not to post or transmit or cause to be posted or transmitted any Content that is defamatory, obscene, pornographic, abusive, offensive, profane, maliciously false or that infringes any copyright or other right of any person.

4.2.5. not to create or transmit unwanted ‘spam’ to any person or URL.

4.2.6. not to create multiple accounts with a view to influence, vote for or against any User’s visual content.

4.2.7. not to post copyrighted Content that does not belong to you unless you are commenting on Visual content in Blogs, where you may post such Content provided you attribute appropriately the Copyright owner and provide a link to the source of the relevant Content.

4.2.8. not to violate any applicable laws, rules or regulations in connection with your access or use of the Site and/or Services.

4.2.9. not to use the Site and/or Services for any purpose for which it is not designed or intended or in any manner which violates or is inconsistent with these Terms and /or Special Conditions.

4.2.10. to comply with the Terms and Special Conditions and any notices or guidelines or amendments which we may post at any time, which are deemed to be incorporated into these Terms and Special Conditions.

4.2.11. not to use or cause to be used the Services or Content or access or caused to be accessed the Site for any unlawful purpose and to comply with any applicable laws, statutory regulations and guidelines now or in the future.

4.2.12. not to hack into, interfere with, disrupt, disable, over-burden or overload or impair the proper working of the Site or Services, including any spoof attack, denial-of-access attack, reverse engineering or any malicious tampering which adversely affects their proper functioning.

4.1.13. not to use the Account of another User at any time, with or without his/her consent.

5. TRADEMARKS AND OTHER INTELLECTUAL PROPERTY RIGHTS

5.1. The Marks (including www.nbsgroup.com.sg logo, domain name, design, labels) and intellectual rights derived from the Site and/or Services and/or Confidential information belong to us absolutely and the User shall not acquire any rights in or to the Marks or the Domain Name.

5.2. The User shall promptly give notice in writing to the other if it becomes aware of:

5.2.1. any infringement or suspected infringement of the Marks or any intellectual property rights that belong to us or any misuse of attempted misuse or any unauthorized use of the Domain Name or any of our intellectual property rights; or

5.2.2. Any claim or notice arising from the use of the Services and Site that infringes the rights of any third party.

5.3. The domain name on which the Site and/or Services are hosted belong to us absolutely and you shall not use or otherwise adopt a similar name for your own use.

5.5.1.3. any Content, whether posted or compiled on the Site, by us, any User or Third Party.

5.6. All Content compiled by us and posted on the Site is our sole copyrighted property.

6. DISCLAIMERS OF WARRANTIES AND LIMITATION OF LIABILITY

6.1. While we make every reasonable effort to ensure that the Content displayed on the Site is accurate and complete, this Content is provided for general information only and on an “as is” or “as is available basis”, without any warranties of any kind, whether express or implied. To the fullest extent permitted by the applicable laws, we disclaim all warranties, express or implied, including implied warranty of satisfactory quality, merchantability or fitness for a particular purpose, whether disclosed or contemplated, conformity to description or the warranty of non-infringement. We further do not warrant that the functions contained in or access to the Site and/or Services or other Content will be timely, uninterrupted or error-free or defect-free or that any omissions, errors or defects will be corrected or that the Site or Services are free from malware or viruses or other harmful technological components or that your use of the Site or Services will not harm or affect the functionality or performance of your computer, mobile device or other electronic devices. You are deemed to have made your informed decision based on any inquiries you have made and effort you have taken to verify the accuracy of the listings and source of information. We do not sponsor, endorse or promote or advertise for any of the User.

6.3. To the maximum extent permitted by law, we shall in no event be liable to any User for any loss of profits, personal injuries, pain and suffering, any other direct or indirect, incidental or consequential loss or other special or aggravated damages arising from any cause of action, whether in contract, tort or strict liability or other economic torts.

6.4. The merchantable quality, fitness for purpose, description of the products provided through the use of our Service is entirely the responsibility of the merchant or retailer and your inquiry with them.

6.5. While we have used our reasonable effort to provide the Site and/or Services as a platform for the Users, we shall not be responsible for any errors or omissions in relation to such content or for any technical problems you may experience with our Site and/or Services. As soon as we are informed of any inaccuracies on our Site and/or Services, we will attempt to correct them as soon as practicable.

Any material you upload to our Site and/or Services or data that we collect will be considered non-confidential and non-proprietary but for public use and you acknowledge and agree that we have the right to use, copy, distribute and disclose to third parties any such material or data for any purpose related to our business. To the extent that such material is protected by your intellectual property rights, if any, you grant us the right to use, copy, modify, distribute, and disclose to third parties any such material or data for any purpose related to our business.

While we endeavour to provide description of products as accurately as possible, we neither warrant nor represent nor guarantee that the product description, images, free gifts (if available), prices or content are accurate or error-free. It is your sole responsibility to rely on your better judgment or inquiry with the third party or retailer to ascertain any material fact. In case of any misdescription, misrepresentation, error or discrepancy, your sole remedy is to return the product in its unused condition for a refund.

6.8. We expressly exclude all representations, warranties, terms and conditions, express or implied, to the fullest extent permitted by law. No staff or agent or servant is authorized to make any representation or give any warranty. We will not be liable for damages which are not reasonably foreseeable arising from and in connection with your online purchase or use of the Services.

6.9. Except to the extent appliable under any existing laws which overwrite the Terms and Special Terms stated herein, we shall not be liable for any loss or damage, which may arise from the use of or reliance on any content, information or data uploaded on our Site. For the avoidance of doubt, all economic loss, direct or indirect loss or damage, consequential loss are expressly excluded, whether they arise from a breach of contract or negligence.

6.10. If applicable and foreseeable, our maximum aggregate liability in contract, tort, breach of statutory duty, arising from or in connection with your online purchase shall be limited to the price of the product purchased and paid for fully and you further acknowledge that this is a fair and reasonable estimate of your loss or damage.

7. INDEMNITY AND CONFIDENTIALITY UNDERTAKINGS

7.1. You agree to indemnify, defend and hold us harmless against all claims, demands, actions, proceedings, liabilities (including statutory liability or penalties and liability to third parties) and all costs, whether on a standard or on an indemnity basis, losses and/or expenses due to or arising from:
7.1.1. the use of the Services and/or access to the Site.

7.1.2. your connection to the Site.

7.1.3. your linkup to the other Users or Third Parties.

7.1.4. your breach of any of the Terms and/or Special Terms.

7.1.5. your violation of any rights of another person or third party.

7.1.6. your breach of any statutory duties, obligations or regulations.

7.2. Each User, separately and individually, where applicable undertakes not to disclose the address or any other personal confidential information to any Users and third parties and all parties involved.

7.3. The confidentiality obligations above shall not apply if the confidential information or data:

was already lawfully known to us or any other Users before receiving it without any breach of confidentiality; or

was already in the public domain or became so through no fault of the Users or us; or

was acquired by a User or third party having the right to convey such information to the User without any obligation of confidentiality not to disclose the same; or

is required to be disclosed under any applicable laws, rules or regulations or direction of statutory or regulatory authority or stock exchange or judicial order.

7.4. You further agree to indemnify, defend and hold us, harmless against all claims, demands, actions, proceedings, liabilities (including statutory liability or penalties and liability to third parties) and all costs, whether on a standard or on an indemnity basis, losses and/or expenses due to or arising from any of the User’s breach of the confidentiality undertakings.

8. NO WAIVER

Our failure or delay to act on any infringement, non-compliance and/or breach of the Terms and/or Special Conditions or to exercise in any respect any right provided in these Terms and/or Special Conditions shall not be deemed a waiver of any of our rights or remedy to which we are entitled.

9. LINKED SITES OF THIRD PARTY

9.1. As a value-added service, we may provide links to other sites that may be useful and relevant or of interest to Users.

9.2. We have no control over, and assume no responsibility for, the content created by any of the Users or Third Parties and content created by third parties and their privacy policies or practices or any third party web sites or services, which you shall have the sole responsibility to disagree or agree and comply. You acknowledge and confirm that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in relation to the use of or reliance on any such content, goods or services available on or through such web sites or services.

10. FORCE MAJEURE

10.1. No party, as a User in relation to other User [s], shall be liable for any failure to perform his/her obligations if the failure arises from a Force Majeure Event (the “Event”), provided that the affected party will, where practicable and possible, resume his/her obligations when the Event ceases or abates.

10.2. The Event, which is beyond the reasonable control of the affected performing party, which is not exhaustive, includes : industrial action or labour disputes, civil unrest, curfew, war or threat of war, criminal or terrorist acts, government action or regulations or advisories, power outages, telecommunications or utility failures, fire, flood, explosion, natural disasters, epidemic, pandemic, disruption to supply chains, quarantine restrictions and general failure or disruption of transport and amenities.

 

11. SUSPENSION OR TERMINATION OF ACCOUNT

11.1. We reserve the right to suspend or terminate any User’s Account for the material breach of any of the Terms and/or Special Conditions or for any reason or without any reason at our sole discretion, without any compensation.

11.2. The User may terminate his/her Account by a written notice.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Special Terms shall be construed, governed and enforced according to the laws of Singapore and the parties submit to the non-exclusive jurisdiction of the Singapore Courts. It is the intention of the parties to settle, to the greatest extent possible, any disputes arising between them in an amicable and equitable manner. Should any dispute arise between the parties concerning any matter arising from or in connection to these Terms and/or Special Terms, it shall initially be resolved by discussion and negotiation initially and if necessary, by mediation or alternative dispute resolution in the second instance and only in the last resort by litigation or arbitration.

 

SCHEDULE A

1. Special Terms in relation to Furniture products

Pictures and images on the Site are for illustration purposes only. For an accurate description and specification of any product, please read the product pages carefully. In the event of doubt, please contact us by e-mail at enquiry@nbsgroup.com.sg or chat with us at the pop up Facebook messenger for clarification before placing an order. When browsing the Site, the colours of products may vary depending on a number of factors, such as the display settings of Users’ computer monitor.

Pricing might be wrong sometimes, we reserve the rights to amend it at any time even after order placed and we find out there’s an error, we will contact the consumers and issue a refund or negotiate with the consumer if they still want the said items after price amendments.

Warranty will be void if there are any tamper, damaged by consumers. We do not guarantee furniture against wear, fading or any damage caused by cleaning processes.
We reserve the right to adjust product and service prices (including delivery charges) and information at any time and in its sole discretion.
Furniture is all installed free before delivering over to consumer place.

If the product is defective, we will replace the product for you within 7 days from the date of delivery.

If the repair or replacement is not reasonably possible or cannot be done within a reasonable period of time and without significant inconvenience to you, you may keep the defective Goods and ask for a partial refund, or return the defective Goods and ask for a full refund. Please note that the amount of the full refund will take into account the Goods’ current state resulting from your use.
Display sets cannot be exchanged.

 

2. Special Terms in relation to Electrical products

Standard Basic installation - Only applicable for selected product categories purchased from Online Store:
Washer - Yes, with the standard water hose and tap installation.
All Kitchen & Beauty Care Appliances - No installation unless stated.
Microwave & Oven - No installation unless stated.
Water Heater - No installation unless stated.
*Basic Installation charges applied if required.*Ad-hoc charges applied based on additional installation required.
Desk/Stand & Wall Fan - No installation unless stated.
*Basic Installation charges applied if required.*Ad-hoc charges applied based on additional installation required.
Ceiling fan – No installation unless stated
*Only applicable with Concrete wall, existing wiring & On/Off Switch. *Basic Installation charges applied if required.*Ad-hoc charges applied based on additional installation required.
All Accessories - No installation unless stated.
Returns and Exchanges
All items sold are strictly non-refundable and change-of-mind exchanges are not applicable.
Items with hardware mechanical defects or failures that affect product function may be exchanged within 7 days of purchase.

 

3. Special Terms in relation to Hardware products

Once paint order is accepted by us, colour cannot be changed
Items once unsealed from the packaging, will not be exchangeable
Sanitary Ware Special Terms
Basin - Only includes installation for basin with existing outlet piping.*Ad-hoc charges applied based on additional installation required.
Toilet Bowl - *Additional $40 if there is no direct lift landing or climbing of stairs is required (Only includes installation for toilets with existing piping. Additional charges will apply if extra piping is needed or new pan collar is needed @ $10 each *as deem fit by the installer.
Taps - Only includes installation (Replacement) with existing outlet piping. Additional charges will apply if extra piping or parts is needed. *as deem fit by the installer. First Tap will be $45; subsequent will be $20 each collected on site by the contractor.
Rain shower set - Only includes installation with existing outlet piping. Additional charges will apply if extra piping or parts is needed. *as deem fit by the installer.
